1. Acceptance of Terms

By accessing and using the aivio platform (including our website at aivioflow.com, applications, application programming interfaces (APIs), and services), you agree to be bound by these Terms of Service ("Agreement"). If you do not accept these terms, you may not access or use the Service. These terms apply to all users, including those who download or use the aivio software, API, or submit information through our platform.

2. Service Description

aivio is a conversational CRM platform powered by AI agents designed to help teams:

  • Capture and analyze conversations across calls, emails, and messages
  • Automatically update CRM records with conversation insights
  • Automate follow-up actions and workflows
  • Forecast pipeline health and deal progression
  • Integrate with third-party CRM, communication, and productivity tools

The Service is provided on an "as-is, as-available" basis. aivio reserves the right to modify, suspend, or discontinue the Service (or any features thereof) at any time with 30 days' notice to active users.

3. User Accounts and Registration

To use aivio, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality and security of your account credentials and API keys
  • All activity and transactions undertaken under your account
  • Notifying us immediately at support@aivioflow.com of any unauthorized access or security breach
  • Ensuring you have authority to bind your organization to these terms

You may not transfer or assign your account without our prior written consent.

4. Acceptable Use Policy

You agree not to use aivio to:

  • Violate any local, state, federal, or international law or regulation
  • Record, capture, or process any conversation without complying with all applicable wiretapping, eavesdropping, and recording consent laws (including the Telephone Consumer Protection Act (TCPA) and state two-party consent laws)
  • Infringe on patents, trademarks, copyrights, or intellectual property rights
  • Harass, threaten, abuse, defame, or discriminate against any person
  • Upload, transmit, or share malware, viruses, ransomware, or other harmful code
  • Attempt to reverse engineer, decompile, or circumvent security measures or encryption
  • Use automated scripts, bots, or tools to scrape, crawl, or access our platform without written permission
  • Submit false or misleading information or impersonate another person
  • Use the Service to build a competitive product or service
  • Facilitate or enable any other user to violate these terms

Call Recording Compliance: You are solely responsible for ensuring that all call recordings, captures, and uses comply with applicable federal and state consent laws. You warrant that all conversation participants have consented to recording where required by law. aivio assumes no liability for your violation of call recording or consent laws.

5. Data Ownership and License

You retain all ownership rights to any data, content, recordings, or information you upload or generate through aivio ("Your Data"). By submitting Your Data to aivio, you grant us a limited, non-exclusive license to:

  • Process, store, and analyze Your Data to provide and improve the Service
  • Create aggregated, anonymized insights and analytics from Your Data
  • Use machine learning and AI models trained on collective, anonymized data patterns to enhance our Service

aivio does not claim ownership of Your Data and will not sell Your Data to third parties. Data usage is governed by our Privacy Policy and Data Processing Agreement.

6. Intellectual Property Rights

All aivio platform content, features, functionality, design, text, graphics, logos, icons, images, code, algorithms, and compilation thereof are the exclusive intellectual property of aivio or its licensors and are protected by U.S. and international copyright and trademark laws. You may not:

  • Modify, adapt, translate, or create derivative works of the Service
  • Reproduce, distribute, or publicly display any aivio intellectual property
  • Use aivio trademarks, logos, or branding without prior written consent

Limited License: We grant you a personal, non-exclusive, non-transferable license to use the Service for your lawful internal business purposes during your subscription term.

7. Third-Party Integrations and Services

aivio integrates with third-party platforms including Salesforce, HubSpot, Slack, Gmail, Microsoft Teams, Jira, and others. You acknowledge that:

  • aivio is not responsible for third-party service availability, accuracy, security, or functionality
  • Your use of third-party integrations is governed by their respective terms, privacy policies, and data policies
  • You are responsible for authorizing and managing third-party access permissions
  • aivio is not liable for third-party service outages, data loss, or disruptions

8. Data Processing Agreement (DPA)

If you are located in the European Economic Area (EEA), United Kingdom, Switzerland, or any other jurisdiction with applicable data protection laws, our Data Processing Agreement (available at support@aivioflow.com) governs how we process your personal data and Your Data. Your use of aivio constitutes acceptance of the DPA terms.

9. Service Level Agreement (SLA)

aivio commits to a target uptime of 99.5% per calendar month, calculated as (total minutes in month - minutes of downtime) / total minutes in month, excluding scheduled maintenance windows and events beyond our reasonable control.

  • Monitoring: Uptime is measured from our infrastructure monitoring systems.
  • Scheduled Maintenance: We perform maintenance windows during off-peak hours (typically 2-4 AM UTC) and provide 7-day notice when possible.
  • Service Credits: If we fail to meet 99.5% uptime in a given month, you may request a service credit (prorated monthly fee) within 30 days of month end. For details, contact support@aivioflow.com.

10. Payment and Billing

By subscribing to a paid plan, you agree to:

  • Pay all subscription fees in accordance with your selected plan
  • Fees are billed annually or monthly as selected; billing is in advance
  • All fees are non-refundable except where required by law
  • Price changes: We will notify you of price increases at least 30 days before they take effect. Continued use after the 30-day notice constitutes acceptance of the new price
  • Taxes: You are responsible for all applicable sales, use, GST, HST, VAT, and other taxes. If applicable, we will invoice you separately for taxes
  • Payment method: You authorize us to charge your provided payment method automatically on the renewal date
  • Failed payments: If your payment method is declined, we may suspend your access to the Service after 15 days' notice

11. Cancellation and Termination

Cancellation by You: You may cancel your subscription at any time through your account settings or by contacting support@aivioflow.com. Cancellation is effective at the end of your current billing period. No refunds are provided for unused portions of the current billing period.

Termination by aivio: aivio may terminate or suspend your account immediately without refund if:

  • You violate these Terms of Service or our Acceptable Use Policy
  • You engage in fraud, illegal activity, or abuse
  • You fail to pay applicable fees after 30 days' notice
  • Your use of the Service poses a security risk or disrupts services for other users
  • We are required to do so by law or court order

Data After Termination: Upon termination, we will retain Your Data for 30 days to permit retrieval. After 30 days, Your Data will be permanently deleted from our systems.

12. Confidentiality

You may have access to aivio's confidential information ("Confidential Information"), including our technology, algorithms, roadmap, pricing, performance data, and business plans. You agree to:

  • Maintain strict confidentiality of aivio Confidential Information
  • Not disclose Confidential Information to third parties without written consent
  • Use Confidential Information solely to support your authorized use of aivio
  • Take reasonable measures to protect Confidential Information from unauthorized disclosure

Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or legally required to be disclosed.

13. Limitation of Liability

To the maximum extent permitted by law, aivio and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenues, data, or business opportunities
  • Loss of goodwill or reputational harm
  • Costs of substitute goods or services
  • Third-party claims, even if aivio has been advised of the possibility of such damages

Liability Cap: aivio's total aggregate liability arising from or related to this Agreement shall not exceed the fees you paid to aivio in the 12 months preceding the claim, or $100, whichever is greater.

14. Disclaimer of Warranties

The Service is provided "as-is" and "as-available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. aivio does not warrant that:

  • The Service will be uninterrupted, timely, error-free, or secure
  • Defects or errors will be corrected
  • AI-generated insights are 100% accurate or complete
  • The Service meets your specific requirements or expectations

Use of the Service is at your sole risk. You are responsible for backing up Your Data.

15. Indemnification

You agree to indemnify, defend (at our request), and hold harmless aivio and its officers, directors, employees, agents, and licensors from any claims, damages, settlements, losses, fines, and expenses (including attorneys' fees) arising from or relating to:

  • Your use of the Service in violation of these terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party intellectual property or data rights
  • Your violation of call recording, TCPA, or consent laws
  • Your misuse of Your Data or third-party data

16. Governing Law and Arbitration

Governing Law: These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law doctrine or principles.

Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement (including its formation, performance, breach, or termination) shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in San Francisco, California, under JAMS Streamlined Arbitration Rules and Procedures.

  • The arbitration shall be conducted by a single neutral arbitrator with experience in technology and SaaS matters
  • Each party shall bear its own attorneys' fees and costs; arbitration fees shall be split equally
  • The arbitrator shall issue a written decision and may award any relief as permitted by law
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction

Exceptions: Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement, misuse of the Service, or breach of confidentiality obligations.

Class Action and Jury Trial Waiver: You agree that any arbitration or court proceeding shall be conducted on an individual basis. You waive any right to participate in a class action, class arbitration, or representative action against aivio. You also waive the right to a jury trial.

17. Export Controls

aivio and its Service are subject to U.S. export control regulations. You agree not to export, re-export, or transfer the Service or any aivio technology to prohibited countries or restricted end-users as designated by the U.S. Department of Commerce or State Department.

18. Entire Agreement and Amendments

This Agreement, together with our Privacy Policy, Data Processing Agreement, and Acceptable Use Policy, constitutes the entire agreement between you and aivio regarding the Service and supersedes all prior agreements. If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full effect.

We may update these Terms of Service at any time. Material changes will be communicated to you via email at least 14 days before taking effect. Continued use of the Service after such notice constitutes acceptance of the updated terms.

20. Severability

If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions shall remain in full force and effect.
